“HOW TO MAKE YOUR HOLIDAY MEALS HEALTHIER” VIDEO CONTEST RULES

NO PURCHASE NECESSARY. VOID WHERE PROHIBITED.

1. CONTEST TIMING: MamasHealth's ’s “How to Make Your Holiday Meals Healthier” Video Contest begins at 12:01 a.m. PST. on November 1, 2008 and ends at 11:59 p.m. PST on December 31, 2008.
   
2. HOW IT WORKS: Film a 5-minute-or-less video demonstrating how you plan and make your holiday meals healthier. Submit your video in a format supported by our Hosting Service (Graspr) which includes .mov, MPEG4, .FLV, .AVI and many other video formats. The video must be under 250 Mb in size. The Finalists whose submissions receive the highest ratings from the judges by the conclusion of the voting period will be awarded first, second, and third place prizes, according to criteria ratings on January 15, 2009. In the event of a tie vote, the videos will be reevaluated and the one receiving the higher total score from the judging panel will receive the place.
3. HOW TO ENTER THE CONTEST: During the Contest Period, in order to enter the Contest, Entrant will go to http://www.graspr.com/contest/mamashealth/ and register to become a member of Graspr. Once you have registered, (or have logged in if you are already a member), you can upload and edit your video. There is a limit of one video submission per person. Normal Internet access and usage charges imposed by your on-line service will apply. Automated entries are prohibited, and any use of such automated devices or programs will cause disqualification. Sponsor and its advertising agencies, as well as Hosting Service (Graspr), are not responsible for lost, late, illegible, misdirected or stolen entries or transmissions. Sponsor will not verify receipt of entry. You retain ownership of any copyrights or other intellectual property rights applicable to any information, such as your video submission, submitted via Graspr. You further agree that you will not upload, post or otherwise represent material protected by copyright, trademark, or other proprietary right owned by a third party, and the burden of determining whether any material is protected by any such right is on you. You shall be solely liable for any damage resulting from any infringement of copyrights, trademarks, proprietary rights, or any other harm resulting from Submission that you make.
4. JUDGING CRITERIA:
   • Informative value and clarity demonstrating how you prepare and create a healthy holiday meal (30%)
   • Creativity and originality of the overall composition of the how to video (30%)
   • Suitability of the submission to be shown to international audience (40%)
   The Finalists will be selected from among all eligible entries received. The Contest Finalists will be notified by e-mail/mail on or about January 15, 2009. Final awards will be determined according to the above mentioned Judging Criteria by Sponsor.
   
   Total Approximate Retail Value of Prizes available to be won in the Contest: US$700.00. Prizes are nontransferable and must be accepted as awarded. No cash or other substitution may be made. All taxes, fees and surcharges on prize are the sole responsibility of winner.
5. ELIGIBILITY: Open to legal United States residents, residing in one of the 50 United States or District of Columbia, who are 18 years of age or older as of November 1, 2008. Employees of MamasHealth.com (Sponsor), Graspr (Hosting Service), or any other Sponsors of the Contest or any of their respective parents, subsidiaries and affiliated companies, or any promotion, advertising, judging or public relations company doing business with any of the above, or any of their respective parents, subsidiaries and affiliated companies, or a member of the immediate family (parent, children, siblings, spouse, regardless of where they live) or people who live in the same household of such employees (whether related or not) are NOT eligible. Void in Puerto Rico and where prohibited or restricted by law. Subject to all federal, state and local laws and regulations. This promotion is intended for viewing in the United States only and shall only be construed and evaluated according to United States laws. You are not authorized to participate in the Contest if you are not a legal resident of the 50 United States or D.C.
6. GENERAL RULES: AS A CONDITION OF ENTRY, ENTRANTS WARRANT AND REPRESENT THAT THEY OWN ALL RIGHTS TO THE VIDEO THEY ARE SUBMITTING, THAT THE VIDEO IS ORIGINAL, THAT IT HAS BEEN LEGALLY OBTAINED AND CREATED, THAT THE VIDEO THEY ARE SUBMITTING HAS NOT BEEN PREVIOUSLY PUBLISHED OR ACCEPTED FOR PUBLICATION AND IS NOT CURRENTLY UNDER CONSIDERATION FOR PUBLICATION, AND THAT PUBLICATION OF THE VIDEO ON MAMASHEALTH.COM AND GRASPR WILL NOT INFRINGE ON ANY THIRD PARTY RIGHTS. Contest Finalists will be required to sign and return an Affidavit of Eligibility, Liability Release, and where legal, a Publicity Release within forty-eight (48) hours of notification attempt. Noncompliance within this time period or if prize notification is returned as non-deliverable, will result in disqualification and another winner will be selected in the place of the disqualified person at random from all eligible entrants that voted for the same recipe as the disqualified person. By accepting the prize, Finalists agree that the Sponsor and those acting under the Sponsor's authority may use Finalist's name, picture/portrait likeness and/or voice, for advertising and promotional purposes without further consideration, unless prohibited by law. Entrants agree to be bound by these Official Rules and the decisions of the judges, which will be final. BY ACCEPTING THE PRIZE, THE FINALIST AGREES THAT THE SPONSOR, ITS SUBSIDIARIES, AFFILIATES, ADVERTISING AND PROMOTION AGENCIES, AND ALL OF THE SPONSOR's OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, WILL HAVE NO LIABILITY WHATSOEVER FOR, AND WILL BE HELD HARMLESS BY WINNER FOR ANY LIABILITY FOR ANY INJURY, LOSS OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING DEATH, AND PROPERTY, DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF THE PRIZE OR PARTICIPATION IN THIS CONTEST OR PARTICIPATION IN ANY CONTEST OR PRIZE RELATED ACTIVITY. All entries become the sole property of Sponsor and none will be returned. If for any reason the Contest is not capable of running as planned (including due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure, human error or any other causes beyond the control of Sponsor that corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest), Sponsor reserves the right in its sole discretion, to cancel, terminate, modify or suspend the Contest and award Contest Finalist Prize from among all eligible entries received prior to cancellation or termination. Sponsor also reserves the right in its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the contest, Contest or website, or violates the Official Rules. Sponsor will replace a disqualified Contest Finalist with an alternate who voted for the same recipe. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsor is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site, any combination thereof, or otherwise, including any injury or damage to entrant's or any other person's computer related to or resulting from participation or downloading any materials in the Contest. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND ANY OTHER AVAILABLE REMEDIES (INCLUDING ATTORNEY'S FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW AND SUCH PERSON SHALL BE SUBJECT TO CRIMINAL PROSECUTION.
7. PRIVACY: By entering into to the Contest, you agree to Graspr's use of your personal information as described in Graspr's Privacy Policy at http://www.graspr.com/PrivacyPolicy/.
8. LIMITATIONS OF LIABILITY: MamasHealth.com and Graspr are not responsible for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the processing of submissions in the Contest. MamasHealth.com and Graspr assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or authorized access to, or alteration of, entries. Graspr is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any website or combination thereof; including injury or damage to participants or to any other person's computer related to or resulting from participating or downloading materials in this Contest.
